2. Modification of Terms

We reserve the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting. Continued Use of the service constitutes your binding acceptance of these terms and conditions, including any changes or modifications made by Cool MFB. If at any time you find the terms and conditions of this Agreement unacceptable, you must immediately discontinue use of the Service.

3. License and Access

Cool Micro Finance Bank Limited grants you a limited, non-exclusive, nontransferable, revocable license to access and use the service for personal and lawful purposes. Unauthorized use or access may result in termination of this license.

You acknowledge that the Service contains information, software, photographs, audio and video clips, graphics, links, and other materials (collectively, the "Content") that are protected by copyright, trademark, or other proprietary rights of Cool Microfinance Bank Limited or third parties. All Content on the Service is copyrighted as a collective work of Cool Microfinance Bank Limited pursuant to applicable copyright laws. You agree to comply with any additional copyright notices, information, or restrictions contained in any Content available on or accessed through the Service. Users may use the Content solely for personal, non-commercial purposes.

By posting Content on the Service, you grant Cool Microfinance Bank Limited the right to edit, copy, publish, distribute, translate, and otherwise use such Content in any medium without compensation. You represent and warrant that you are authorized to grant all rights set forth in this clause.

4. User Responsibilities

7. • Not attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
8. • Not use any automated means (such as bots or scrapers) to access the Platform without our prior written permission.
9. • Not interfere with or disrupt the integrity or performance of the Platform or the data contained therein.
10. • Not impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
11. • Not collect or store personal data about other users without their express consent.
12. • Comply with any additional guidelines or rules posted on the Platform from time to time.
13. • Maintain the confidentiality of your login credentials.
14. • Notify us immediately of any unauthorized access or breach of security.
15. • Use the Platform only for lawful purposes and in accordance with applicable regulations.

Cool Microfinance Bank Limited provides financial services including savings, and loans. We do not represent or endorse the accuracy, reliability, or validity of any content posted by users in any interactive area of the Service. You acknowledge that any reliance on such content is at your sole risk. Content posted by users reflects the views and opinions of the individual posting it and does not represent the views of Cool Microfinance Bank Limited.

The Service may include links to external websites that are owned and operated by third parties ("External Sites"). You acknowledge that Cool Microfinance Bank Limited is not responsible for the availability, accuracy, or content of any External Site or the resources accessed through them. If you have any concerns regarding such links or the content found on External Sites, you should contact the administrator or webmaster of the respective site directly.

Cool Microfinance Bank Limited does not endorse or guarantee any products or services offered by third parties through the Service. Any transactions or agreements you enter into with third parties are solely between you and the third party. Cool Microfinance Bank Limited is not a party to such transactions and is not responsible for any issues that may arise from them.

6. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of Cool MFB or its licensors and is protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, or exploit any content without prior written consent.

7. Data Protection and Privacy

We process personal data in accordance with the Nigeria Data Protection Act (NDPA) 2023. By using the Platform, you consent to the collection and processing of your data as outlined in our Privacy Policy.

8. Indemnity

You agree to indemnify, defend, and hold harmless Cool Microfinance Bank Limited, and its respective officers, directors, employees, agents, licensors, and service providers (collectively, the "Cool MFB Parties") from and against any and all claims, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from any Use or alleged use of the Service under your credentials by any person, whether or not authorized by you.

Cool Microfinance Bank Limited reserves the right, at its own expense, to assume exclusive control of the defence of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with Cool MFB in asserting any available defences.

9. Limitation of Liability

Cool Microfinance Bank Limited shall not be liable for any indirect, incidental, or consequential damages arising from your Use of the Service. We do not guarantee uninterrupted access or error-free functionality.

10. Confidentiality

While we take reasonable steps to protect your data, we cannot guarantee absolute security. You are responsible for safeguarding your login credentials and any sensitive information shared via the Platform.

11. Compliance and Legal Obligations

Cool Microfinance Bank Limited complies with all applicable laws including:

1. • The Nigeria Data Protection Act (NDPA) 2023
2. • The Banks and Other Financial Institutions Act (BOFIA)
3. • The Central Bank of Nigeria (CBN) regulations & guidelines for microfinance banks.
4. • Anti-Money Laundering (AML) and Countering the Financing of Terrorism (CFT) laws.
5. • BOFIA 2020 for banking operations

We may disclose user information to regulatory authorities or law enforcement agencies as required by law.

12. Dispute Resolution

All disputes arising from the Use of the Platform shall be resolved through binding arbitration at the Lagos State Multi-Door Courthouse, in accordance with Nigerian law.

13. Termination

We reserve the right to suspend or terminate your access to the Platform at our discretion, especially in cases of breach of these Terms or unlawful activity.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Lagos State, Nigeria.
